2. PCD Pharma Franchise Rights

All franchise rights granted by SP Vedastra Life Care are governed by mutual business agreements:

• Monopoly Territory: Franchise partners are assigned specific geographic boundaries. Operating or supplying outside the assigned district without written consent is strictly prohibited.
• Document Requirements: Franchise partners must possess a valid Drug License and GST registration certificate as per statutory regulations in India.
• Minimum Order Quantities: Initial and subsequent order values must meet agreed company standards to qualify for monopoly protection.

3. Orders, Pricing & Payment Terms

All financial interactions and orders are subject to the following conditions:

• Price Revisions: Prices are subject to change without prior notice based on raw material costs and market trends, though confirmed orders will be billed at prevailing agreed rates.
• Payment Terms: Stock dispatches are processed against advance payment unless otherwise stated in a formal written contract.
• Taxes & Freight: Applicable GST and freight/transportation charges are borne by the distributor unless specified.

4. Product Quality, Returns & Claims

We adhere to strict quality control policies for all our Ayurvedic and herbal products:

• Damage in Transit: Any transit breakage or discrepancy in received quantities must be reported in writing within 48 hours of shipment delivery along with proof.
• Expiry & Unsold Stock: Company policies regarding expiry returns are outlined in individual franchise distribution agreements and must be followed accordingly.

5. Intellectual Property & Brand Usage

All brand names, trade names, logos, package designs, visual aids, and website content related to SP Vedastra Life Care are the intellectual property of the company. Franchise holders are granted non-exclusive, temporary permissions to use promotional materials solely for marketing authorized products within their assigned territory.
